PTCL has secured a No Objection Certificate (NOC) from the Pakistan Telecommunication Authority (PTA), marking the first major regulatory milestone in the ownership transfer process.
According to officials, the company will now approach the State Bank of Pakistan to fulfill all foreign exchange and legal prerequisites, clearing the way for the transaction to proceed without turbulence.
The final completion of the deal is expected in January, after which PTCL will assume operational control of Telenor Pakistan. Once the takeover wraps up, PTCL is set to seek PTA’s approval for the full merger.
The case will then move to the Securities and Exchange Commission of Pakistan (SECP) for further processing an essential step toward officially uniting both entities under the PTCL Group banner.
Industry experts say this acquisition will become one of the largest telecom deals in recent years, effectively bringing together two major operators and altering the sector’s competitive dynamics.
Officials note that the acquisition removes the biggest hurdle in Pakistan’s long-delayed 5G rollout. Telenor Asia has also acknowledged the PTA approval, calling it a clear signal of the regulator’s commitment to strengthening the telecom sector. The company affirmed that Telenor Pakistan will continue its regular operations, ensuring customers experience no disruptions.
Once the merger concludes, Pakistan will see a reduced number of major mobile operators, but a significantly stronger one a spectrum-rich, scale-driven telecom powerhouse ready to compete in upcoming 5G auctions.
